Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Qubis ("the App"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and Qubis ("we," "our," or "us").

2. Description of Service

Qubis is a calorie and macronutrient tracking application designed for iOS and Apple Watch. The App allows users to log food intake, set nutrition goals, track macronutrients, sync data with Apple Health, and access additional features through a premium subscription. Qubis is designed to support, not replace, professional medical or nutritional advice.

3. User Accounts

To use Qubis, you may create an account using your email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Premium Subscriptions

4.1 Billing

Premium subscriptions are billed through the Apple App Store. All payments are processed by Apple; we do not store your payment card information. Subscription pricing is displayed in the App and may vary by region.

4.2 Subscription Tiers

• Monthly: Billed monthly. Cancel anytime.
• Annual: Billed once per year. Cancel anytime with pro-rated refund within the first 7 days.

4.3 Cancellation

You may cancel your subscription at any time through your iOS Settings → App Store → Subscriptions. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused subscription time, except as required by applicable law or Apple App Store policy.

4.4 Free Trial

If we offer a free trial period, it is limited to one per account. We reserve the right to revoke free trial access if we detect multiple accounts or abuse of trial terms.

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any local, state, national, or international law
• Attempt to gain unauthorized access to any part of the App or its related systems
• Reverse engineer, decompile, or disassemble the App
• Use the App to transmit any malware, viruses, or other harmful code
• Interfere with or disrupt the App or servers connected to the App
• Use automated tools, bots, or scrapers to collect data from the App without our written consent
• Impersonate any person or entity, or falsely represent your affiliation
• Use the App to harass, abuse, or harm other users
• Upload or share content that is defamatory, obscene, or otherwise objectionable

We reserve the right to suspend or terminate your account if you violate these acceptable use terms.

6. Health & Medical Disclaimer

You acknowledge that any decisions you make regarding your diet, health, or wellness based on Qubis data are made at your own risk. Qubis is not responsible for any health issues, injuries, or damages arising from your use of the App.

7. Food Database Accuracy

Qubis provides nutritional information sourced from third-party databases and our own research. While we make reasonable efforts to ensure accuracy, nutritional values may vary by brand, preparation method, serving size, and ingredient sourcing. Always verify critical nutritional information against the product label or manufacturer's data. Qubis is not responsible for discrepancies between app-reported and actual nutritional values.

8. Intellectual Property

All content, features, designs, logos, trademarks, and software in Qubis are the intellectual property of Qubis and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on Qubis without our written consent.

Apple, Apple Watch, iPhone, iOS, App Store, HealthKit, and Apple Health are trademarks of Apple Inc. Qubis is not affiliated with, endorsed by, or sponsored by Apple Inc.

9. Third-Party Services & Links

The App may integrate with third-party services, including Apple HealthKit, iCloud, food database providers, and analytics platforms. Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of any third-party services.

10. Data Backup

While we implement reasonable security measures, we cannot guarantee the integrity or availability of your data. We recommend enabling iCloud sync within Qubis settings to back up your data. We are not responsible for loss of data if you have not enabled backup options or if data is lost due to device failure, loss, or theft.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of Qubis at any time, with or without notice. We may also impose limits on certain features or restrict your access to parts of the App without liability.

We may update these Terms periodically. If we make material changes, we will update the "Effective date" above and notify you via the App. Your continued use of Qubis after any modification constitutes your acceptance of the updated Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Qubis and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the App
• Any decisions made based on App data (including health and nutrition decisions)
• Any unauthorized access to your account or data
• Any errors, inaccuracies, or omissions in nutritional data
• Any suspension or termination of your account
• Any conduct of any third party on or connected to the App

In no event shall our total liability exceed the amount you paid for the App's premium subscription in the twelve (12) months preceding the claim, or $50 USD, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Qubis and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of your use of the App, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of Qubis shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

15. Dispute Resolution

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or your use of Qubis shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California. By agreeing to these Terms, you waive your right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Qubis, constitute the entire agreement between you and Qubis regarding your use of the App.
